SUMMARY:Starting right: Section 1202 considerations for startups and business acquisitions
DESCRIPTION:Taxpayers may run into limitations under Section 1202\, but thoughtful tax planning can minimize the impact of the limitations and maximize the tax benefits for selling shareholders. The initial structuring is important\, which is why our Section 1202 specialists will talk through a variety of topics to consider when starting or buying a company that’s intended to be eligible for QSBS gain exclusion on exit. \n\n\n\nIf Section 1202 is part of the investment strategy\, you’ll need to form the business in the correct way. Newly formed companies have different planning opportunities to maximize the gain exclusion as well as some specific rules in Section 1202 to consider. If you intend to acquire a current business as part of your formation\, engaging in proactive planning at the outset can help to ensure Section 1202 requirements are met from the beginning. Finally\, the method of issuing the shares can be important to starting qualification out right. This can include additional considerations if a pass-through entity is a shareholder or if equity-based compensation is intended to qualify for Section 1202. \n\n\n\nLearning objectives:\n\n\n\n\nIdentify key planning concepts for startup companies that have a goal of qualifying for Section 1202 on exit.\n\n\n\nIdentify key considerations when it comes to acquiring an existing company and having QSBS.\n\n\n\nUnderstand best practices for issuing equity and employee equity incentives for stock to be eligible for Section 1202.\n\n\n\n\nFor more information regarding program cancellation policies\, please visit our webinar website or contact our offices at 248-352-2500. \n\n\n\nStaff wishing to express complaints regarding this training should contact the Learning Team at 248-223-3881. \n\n\n\nPlante & Moran\, PLLC\, is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing professional education on the National Registry of CPE Sponsors. SUMMARY:Internal Audit & Quantum Computing Risks: Preparing for the Future
DESCRIPTION:Event description\n\n\n\nThe advent of quantum computing brings unprecedented opportunities and risks. As we enter the “year of harvesting\,” where adversaries may store encrypted data now to decrypt later with quantum computers\, organizations must focus on quantum resilience. Preparing now to respond to this shift can protect financial stability\, ensure compliance\, and safeguard reputation. In this critical landscape of evolving quantum computing risks and regulatory demands to be resilient\, the role of internal audit takes center stage. As part of a layered defense approach\, Internal Audit can serve as the guardian of an organization’s resilience against these risks. \n\n\n\nJoin us on March 26th as we discuss how internal audit can assess and inform the audit committee and the board on the adequacy of your organization’s quantum resiliency processes and controls. \n\n\n\nThe discussion will cover: \n\n\n\n\nWhat quantum computing is\, how it impacts organizations today\, and how to prepare for the risks of the future.\n\n\n\nPreparing for the quantum shift towards post-quantum cryptography (PQC) as a crucial mitigation strategy and what auditors need to know.\n\n\n\nLeading practices internal auditors can consider in their audit plans to evaluate their organization’s quantum resiliency against decryption risks.\n\n\n\nHow internal auditors can tailor existing audit plans to align with quantum resilient audit process using specifically designed risk-based control frameworks.\n\n\n\nLeveraging security tools with technical testing to improve quantum resilience.\n\n\n\nTools internal audit can use to determine the effectiveness of management’s corrective action plans in the event of a quantum-related security incident/data decryption.\n\n\n\n\nDate and time\n\n\n\nWednesday\, March 26\, 2025 \n\n\n\n1:00 PM ET – 2:00 PM ET \n\n\n\nRecommended CPE credits\n\n\n\n1 \n\n\n\nLearning objectives\n\n\n\nIdentify leading practices and considerations to improve resilience against quantum computing risks\, including third-party risk management and data protection policies. \n\n\n\nDescribe how to adapt and respond to evolving regulatory requirements and emerging quantum risks. \n\n\n\nIdentify risk mitigation strategies to manage quantum-related operational risks and build quantum resilience. \n\n\n\nDefine Internal Audit’s role in assessing cryptographic inventory and planning the transition to post-quantum cryptography (PQC). \n\n\n\nRecognize industry audit trends in evaluating an organization’s quantum readiness and resilience against quantum threats.
