SUMMARY:Tax Readiness: Unlocking value and mitigating risks in an Up-C structure
DESCRIPTION:As companies prepare for IPOs\, SPAC transactions or private equity exits\, many are turning to an “Up-C” structure — a deal and holding structure where pre-IPO owners retain their operating business in a tax partnership while public investors hold stock in a newly formed C corporation that sits “above” the partnership. Up-C structures can provide significant tax advantages\, but they also add unique complexity. This session will explore how tax leaders may prepare and strengthen financial\, tax and Tax Receivable Agreement (TRA) reporting processes within an Up-C structure. From pre-IPO readiness to post-IPO operations\, we will outline practical actions to mitigate risk\, streamline processes\, enhance coordination with finance teams and create long-term value across the Up-C lifecycle. This webcast is CPE-eligible for 1 Tax credit.

DESCRIPTION:Description: \n\n\n\nThe rapid proliferation of artificial intelligence (AI) across industries presents unprecedented opportunities alongside complex ethical\, legal\, and operational challenges. Historically\, organizations have managed AI-related risks through nascent AI governance frameworks\, while data privacy has been addressed by established privacy operations like the International Association of Privacy Professionals’ (IAPP’s) Certified Information Privacy Manager (CIPM) certification. However\, the intertwined nature of AI and data privacy — where AI systems often process vast amounts of personal data\, and privacy breaches can severely impact AI trust and compliance — underscores the inefficiencies and potential gaps of siloed approaches. \n\n\n\nLearning objectives:  \n\n\n\n\nImprove regulatory compliance.\n\n\n\nEnhance public trust.\n\n\n\nImprove resource utilization by leveraging shared principles\, tools\, and expertise.\n\n\n\nUse best practices for streamlining risk management operations.\n\n\n\n\nCPE credit(s): 1 \n\n\n\nField of study: Information Technology \n\n\n\nInstructional delivery method: Group Internet Based \n\n\n\nLevel: Basic \n\n\n\nPrerequisite: None \n\n\n\nAdvanced preparation: None
