The session will explore the accounting, tax and valuation issues surrounding business combinations within the financial services sector.

The session will explore the benefits of performing comprehensive tax due diligence on banking transactions, including identification of business tax risks, opportunities to remediate exposures before being identified by prospective buyers, identification of tax attributes that could provide prospective buyers with future tax benefits, evaluation of tax structuring alternatives and negotiation of tax aspects of the purchase agreement. The discussion will also touch on the ever-expanding challenges of managing through the complexities of tax issues impacting business combinations.

The program will discuss the most common intangible assets, financial assets and liabilities considered in bank acquisitions. It will also outline the most common valuation approaches, trends, and pitfalls in valuing these assets and liabilities. Participants can expect to learn about valuation issues related to core deposit intangibles, loan portfolios and fixed term deposits, along with other less common asset classes that may be part of bank acquisitions.

Finally, the session will cover the Day 2 accounting issues related to business combinations in the banking space through a discussion about income recognition as it relates to loan portfolios as well as the difference between Fair Value and Current Expected Credit Loss (CECL) as it relates to purchased credit deteriorated assets.
